SDE Tech LLC is a Florida limited liability company providing IT consulting, managed network services, VoIP phone systems, website services, and custom software development to business clients.

Specific terms for engagements (project scope, fees, deliverables, payment terms, and confidentiality) are set out in the proposal or service agreement signed by you and SDE Tech. Where those documents conflict with these Terms, the signed agreement controls for that engagement.
4. Service availability
We strive to keep the Site available at all times but do not guarantee uninterrupted access. The Site may be temporarily unavailable for maintenance, upgrades, or factors outside our reasonable control. Service-level commitments for managed-service engagements, where applicable, are defined in the relevant service agreement.
5. Third-party links
The Site may link to third-party websites for convenience. We do not control and are not responsible for the content, policies, or practices of those sites.
6. Intellectual property
All content on the Site — including text, graphics, logos, and the SDE Tech name — is owned by SDE Tech or its licensors and is protected by U.S. intellectual property law. 7. Disclaimer of warranties

8. Limitation of liability
To the fullest extent permitted by law, SDE Tech and its owners, employees, and contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenues, data, or goodwill arising out of or in connection with your use of the Site. Liability for any direct damages arising from a paid engagement shall not exceed the fees paid to SDE Tech for the services that gave rise to the claim during the three (3) months preceding the claim.
9. Indemnification
You agree to indemnify and hold SDE Tech harmless from any claim arising out of your breach of these Terms or your misuse of the Site.
10. Governing law and venue
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles. Any dispute arising under these Terms shall be brought exclusively in the state or federal courts located in Sarasota County, Florida, and you consent to the personal jurisdiction of those courts.
11. Changes to these Terms
We may update these Terms from time to time. The “Last updated” date above will reflect the most recent revision. Continued use of the Site after a revision constitutes acceptance of the updated Terms.
